The Competition Commission of India (CCI) has approved Adani Energy Solutions Ltd acquiring 100 per cent of IntelliSmart Infrastructure Private Ltd, the fair-trade regulator said in a statement on Saturday. The stake is being bought from the National Investment and Infrastructure Fund (NIIF) and Energy Efficiency Services Ltd (EESL).

The Rs 3,050-crore transaction, first announced in June when Adani Energy Solutions said it had executed a binding securities purchase and subscription agreement, also includes redemption of optionally convertible debentures held by NIIF, according to IANS. NIIF is India's sovereign-anchored alternative asset manager, while EESL is a joint venture of public sector undertakings under the Ministry of Power.

IntelliSmart provides advanced metering infrastructure for electricity in India and also deploys smart gas meters, the regulator said. Adani Energy Solutions, part of the Adani Group and listed on the BSE and the National Stock Exchange, works in electricity transmission and distribution and in deploying advanced metering infrastructure.

The clearance removes the competition-law step for the deal; completion, including transfer of the equity and the debenture redemption, will follow the terms of the June agreement. Shares of Adani Energy Solutions ended at Rs 1,345.55 on the BSE, IANS reported, citing exchange data.
